Bedeutung der «Morrison»-Entscheidung des «Supreme Court» der Vereinigten Staaten von Amerika für das US-amerikanische Übernahmerecht und die deutsche Übernahmepraxis

Mit der Entscheidung Morrison v. National Australia Bank Ltd. hat der Supreme Court der Vereinigten Staaten von Amerika im Juni 2010 den von US-amerikanischen Gerichten über Jahrzehnte zur Begründung der extraterritorialen Anwendbarkeit der kapitalmarktrechtlichen Betrugsvorschriften herangezogenen effects und conduct tests die Grundlage entzogen und die Bedeutung der fraglichen Bestimmungen für transnationale securities fraud cases erheblich eingeschränkt. Da Instanzgerichte die im Betrugskontext entwickelten Tests in der Vergangenheit auch zur Bestimmung der geographischen Reichweite der inländischen Übernahmebestimmungen herangezogen haben, untersucht der Autor, ob und ggf. welche Bedeutung der Entscheidung im US-amerikanischen wie auch internationalen Übernahmekontext zukommt.
